With the expansion of digital life, individuals increasingly possess a wide range of non-material assets, including data, user accounts, and digital property. After death, the transfer and legal protection of these digital assets and data face complex challenges, as they embody not only economic value but also dimensions related to privacy, personality rights, and contractual obligations imposed by digital service providers. The absence of comprehensive legal regulations concerning transfer mechanisms, the scope of heirs’ rights, the role of the deceased’s will, and the impact of platform terms of service creates significant legal uncertainty. Accordingly, this article analyzes the legal challenges surrounding the transfer and protection of digital assets and data after death by examining their legal nature, rules of intestate and testamentary succession, the role of the deceased’s intent, the conflict between privacy and heirs’ rights, and the contractual framework governing digital platforms. The study adopts a descriptive-analytical method combined with a comparative review of Iranian law and selected foreign legal systems. The findings indicate that digital assets and data possess a dual nature, encompassing both economic value and personal attributes, thereby requiring a specialized legal regime. Such a framework should ensure the execution of the deceased’s will while balancing heirs’ rights, privacy protection, and contractual obligations of digital platforms. Ultimately, establishing a coherent legal framework supported by technical and legal mechanisms can reduce disputes, safeguard stakeholders’ rights, and enhance legal certainty in post-mortem digital asset transfer.
