[English]

China’s bilateral investment treaties (BITs) and derives practical lessons for reforming Iran’s international investment legal framework. It employs a qualitative-comparative content analysis of the full corpus of China’s BITs, from the first treaty with Sweden (1982) to the most recent agreements, supplemented by selected arbitral awards. The analysis focuses on treaty provisions governing the scope of arbitral jurisdiction, applicable law, arbitral institutions, sovereignty-based exceptions, limitation periods, and transparency requirements.

The findings identify four distinct generations of Chinese BITs, each reflecting significant developments in ISDS design. This evolution has paralleled China’s transformation from a capital-importing to a capital-exporting State and demonstrates a deliberate effort to balance investor protection with the preservation of the State’s regulatory authority.

Despite continuing criticism of its strategic dimensions, the Chinese model provides persuasive evidence that revising the ISDS provisions of Iran’s investment treaties to strengthen reciprocal investment protection while safeguarding regulatory autonomy is both feasible and institutionally viable. Moreover, China’s evolving treaty practice reveals an increasing willingness to incorporate more balanced and cooperative ISDS mechanisms into its investment agreements. These developments offer valuable guidance for future treaty reform in Iran and support the inclusion of provisions that better reconcile investor protection with the host State’s sovereign right to regulate in pursuit of legitimate public policy objectives.
